Vendor and Paid Listing Terms

1. When these terms apply
These Vendor and Paid Listing Terms apply where a vendor or its representative asks Legal AI Archive to add, confirm, update, enhance, sponsor or otherwise manage a listing for that vendor’s tool or service.
They apply in addition to the Website Terms of Use and Privacy Policy. If there is an inconsistency, these terms prevail for vendor confirmations, Enhanced listings and Sponsor placements.
2. Authority to act for vendor
A person who confirms a listing, supplies vendor information, requests an Enhanced listing, or requests Sponsor placement must be authorised to act for the relevant vendor.
We may ask for evidence of authority, including use of a work email address, confirmation from a senior contact, or other verification. We may decline or delay any request if authority is unclear.
3. Free vendor confirmation
A vendor may ask to confirm or correct information about its own listing without buying a paid placement. Vendor confirmation does not guarantee inclusion, wording, categorisation, prominence or continued listing.
We retain editorial control and may edit vendor-supplied wording for accuracy, neutrality, clarity, consistency, length and house style.
4. Enhanced listings
An Enhanced listing is a paid listing option. The current launch price is USD $499 per year.
Enhanced listings may receive expanded profile content and priority presentation below active Sponsor placements. Enhanced listings are not capped unless we state otherwise. Enhanced listing does not mean endorsement, recommendation, ranking or verification by us.
Enhanced listing status and associated display treatment apply only while the relevant subscription is active and the listing remains approved for display.
5. Sponsor placements
Sponsor placement is a paid sponsorship option. The current launch price is USD $1,999 per year.
There is one class of Sponsor only. A maximum of six active Sponsors may be displayed at any time.
A Sponsor listing will include sponsor placement on the homepage, priority placement above Enhanced and Standard listings in the main Directory, and priority placement above Enhanced and Standard listings in each category page in which the tool is listed.
Sponsor placement is subject to availability and ordinary Website operation, maintenance, outages, redesigns, and changes reasonably required for technical, legal, editorial or usability reasons. If all Sponsor positions are filled, we may decline the request or place the vendor on a waitlist.
Sponsor placement does not mean endorsement, recommendation, ranking or verification by us.
6. Paid placement labels
We will label paid placements using clear wording such as Enhanced, Sponsored or equivalent wording. We may change labels or presentation if we consider that necessary for clarity, legal compliance, user trust, or consistency with the Website design.
7. Term and activation
Unless agreed otherwise in writing, an Enhanced listing or Sponsor placement runs for 12 months from the later of payment and activation on the Website.
A paid placement is active only when we have accepted the vendor, received required information, received payment or agreed payment terms, and activated the relevant display treatment.
8. Payment processing
Payments for Enhanced listings and Sponsorships are processed by Stripe or another payment provider we nominate.
We will use Stripe-hosted Checkout, Stripe Payment Links, Stripe Billing or another hosted or prebuilt payment process. We will not collect, process, transmit or store full credit card numbers, CVCs or equivalent payment credentials on our own Website, forms, servers, email inboxes or databases.
Payment information is provided directly to the payment provider and is handled in accordance with that provider’s terms and privacy policy.
If payment is made through Stripe Checkout, Stripe Payment Links, Stripe Billing or another online payment process, the fee is payable at the time of checkout or on the recurring billing date shown in that process. If we issue an invoice for manual payment, the invoice is payable within 14 days of the invoice date unless the invoice states otherwise.
9. Taxes and charges
Fees are stated in United States dollars. We are not currently registered for New Zealand GST and will not charge New Zealand GST unless and until we are required or choose to register.
If we become GST-registered or otherwise required to collect tax, we may update the tax treatment of future invoices, checkout pages, subscriptions or renewals.
You are responsible for any bank fees, currency conversion charges, withholding taxes, duties or similar charges imposed by your bank, payment provider or jurisdiction.
10. Annual subscription, renewal and cancellation
Paid listings are annual subscriptions. Unless we agree otherwise in writing, Enhanced listings and Sponsorships renew automatically for successive annual terms until cancelled.
You authorise the payment provider to charge the applicable fee, and any applicable taxes or payment processing charges, at the start of each subscription term.
You may cancel renewal before the renewal date by using any cancellation method made available through us or the payment provider. Cancellation prevents the next renewal charge but does not, unless we agree otherwise or applicable law requires, entitle you to a refund for the then-current paid term.
If a renewal payment fails or is not received, we may suspend, downgrade or remove the paid listing after giving reasonable notice, unless the issue is promptly resolved.
11. No guarantee of results
We do not guarantee traffic, impressions, clicks, leads, enquiries, conversions, search ranking, sales, procurement outcomes or any other commercial result from any listing, Enhanced listing or Sponsor placement.
12. Vendor information and warranties
The vendor is responsible for ensuring all information it supplies or confirms is accurate, current, complete, lawful, not misleading, and does not infringe any third-party rights.
The vendor must promptly tell us if supplied or confirmed information becomes inaccurate, incomplete or outdated, including information about pricing, security, privacy, integrations, jurisdiction, product capabilities or availability.
The vendor must not provide confidential information, privileged information, client information, trade secrets, or personal information that it is not authorised to provide.
Vendor-supplied content, including Enhanced descriptions, call-to-action text, and any other vendor-supplied statement, must not make negative, disparaging, or unsupported comparative claims about other tools, vendors, or products listed or eligible for listing in the directory.
13. Security, privacy and compliance claims
Security, privacy, certification and compliance statements must be accurate, supportable and not misleading. We may require public source support or vendor evidence before displaying a positive security or compliance attribute.
We may present a vendor statement as a claim or caveat rather than as a verified attribute if the statement is qualified, incomplete, in progress, platform-level, available only on request, or otherwise not suitable for an unqualified public flag.
14. Licence to use vendor material
The vendor grants us a non-exclusive, royalty-free, worldwide licence to use, reproduce, edit, adapt, publish and display vendor-supplied information, product names, logos, trade marks and related materials for the purposes of operating, maintaining, improving, promoting and explaining the Website and directory.
We will use vendor logos and marks only in connection with the relevant listing or related directory promotion, unless otherwise agreed.
15. Editorial control and removal
We retain final editorial control over all listings. We may accept, reject, edit, suspend, remove, relabel, recategorise or decline to renew any listing or paid placement at any time if we consider it appropriate, including for accuracy, neutrality, user trust, legal risk, non-payment, reputational risk, conflict with the directory model, or breach of these terms.
If we remove a paid placement without vendor breach and without replacing it with materially equivalent placement, we will consider a fair pro-rata refund or credit for the unused paid period. If removal is due to vendor breach, misleading information, non-payment or conduct that risks user trust, no refund is required.
16. Indemnity
The vendor indemnifies us against loss, cost, liability, claim or expense arising from vendor-supplied information, vendor-confirmed information, breach of these terms, infringement of third-party rights, misleading statements, or any claim that a listing or paid placement based on vendor information is inaccurate, unlawful or misleading.
17. Liability
To the maximum extent permitted by law, we exclude liability for loss arising from any listing, paid placement, editorial decision, display position, interruption, correction, removal, non-renewal, user reliance, or failure to generate traffic, leads or other commercial results.
Where liability cannot be excluded, our aggregate liability to a vendor in connection with a paid placement is capped at the amount actually paid by that vendor for the relevant paid placement in the 12 months before the event giving rise to the claim.
